11. INTELLECTUAL PROPERTY
   On full payment, the Agency assigns ownership of the final delivered work to the Client.
   The Agency keeps its pre-existing tools and know-how, and may feature the work in its
   portfolio [unless the Client opts out in writing].

12. CONFIDENTIALITY
   Each party keeps the other's non-public information confidential and uses it only to
   perform this SOW.

13. TERM & TERMINATION
   Starts [date]; ends on completion or [date]. Either party may terminate with [14] days'
   written notice; the Client pays for work completed and committed costs to that date.

14. WARRANTY & LIABILITY
   The Agency will perform the work with professional skill and re-do any deliverable that
   doesn't meet its agreed criteria. Otherwise the work is provided "as is", and neither
   party's total liability exceeds the fees paid under this SOW.

How to fill it in

Scope and out-of-scope

The out-of-scope list does more work than the in-scope one. Name the obvious adjacent asks (extra rounds, social cutdowns) so 'can you just...' has a clear answer.

Deliverables and acceptance

Every deliverable needs an owner, a date, and what 'done' means. 'Done' with no acceptance criteria is an open-ended argument.

Client responsibilities

Your timeline depends on the client. Put their obligations - assets, approvals, a feedback turnaround like 3 business days - in writing.

Fees and payment

State the structure (fixed, retainer, or hourly), the schedule, and invoice terms. A 50% deposit protects you on fixed-fee work.

Change orders

One clause prevents most disputes: any change to scope, timeline, or fees is agreed in writing before work continues.
