RETAINER AGREEMENT (DELIVERABLES-BASED)

This Retainer Agreement is made on [date] between [Agency name] ("Agency") and
[Client name] ("Client"), governed by the [Master Services Agreement dated [date]].

1. MONTHLY DELIVERABLES
Each month the Agency delivers a fixed set of outputs (not hours):
   - [e.g. "4 short-form videos + 8 graphics"]
   - [e.g. "1 long-form article + 2 newsletters"]
   - [e.g. "Monthly performance report + 1 strategy call"]
This list defines the retainer. Anything beyond it is out of scope (Section 4).

2. FEE & TERM
   - Monthly fee: [amount], invoiced [in advance], terms [Net 15]
   - Initial term: [e.g. 3 months], then month-to-month
   - Notice to cancel: [30] days, in writing

3. PRODUCTION & TURNAROUND
   - The Agency delivers each item within [its agreed turnaround, e.g. 5 business days of brief].
   - The Client provides briefs, assets and approvals on time; one approver: [name].

4. EXTRA WORK
   - Additional deliverables beyond the monthly set are quoted and approved before work starts.

5. UNUSED DELIVERABLES
   - The monthly set is "use it or lose it"; undelivered items [do not / do] roll over
[up to one month] where the cause was on the Agency's side.

6. REPORTING
   - The Agency shares a [monthly report / live status page] listing each deliverable and its status.

7. LATE PAYMENT
   - If an invoice is [N] days overdue, production pauses until it's settled.

8. INTELLECTUAL PROPERTY
   - On payment, ownership of delivered work passes to the Client; the Agency keeps its own tools.

9. CONFIDENTIALITY
   - Each party keeps the other's non-public information confidential.

10. TERM & TERMINATION
   - After the initial term, either party may cancel with [30] days' written notice; the notice
period is billed and in-progress items are completed or handed over.

11. WARRANTY & LIABILITY
   - Services provided with professional skill; total liability capped at the last [3] months' fees.
